By accessing or using the Service, you agree to comply with these Terms. If you do not agree, you must not use the Service.

Dcisive provides an unstructured data management solution delivered through a Software-as-a-Service (SaaS) model. This includes, but is not limited to:

• Metadata creation and classification tools.

• Integration with third-party platforms and storage solutions.

• Secure data access and retrieval capabilities.

Dcisive reserves the right to modify, suspend, or discontinue the Service at any time without notice.

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

You agree not to:

1. Modify, reverse engineer, copy, or create derivative works from the Software or related materials, except as permitted by the Copyright Act 1968 (Cth) or as agreed in writing by Dcisive.

2. Sell, license, lease, or otherwise commercially exploit the Software or the Services.

3. Engage in unauthorised access to data, services, systems, or networks, including probing, scanning, or testing vulnerabilities.

4. Access, store, or transmit:

   • Malicious code (e.g., viruses, worms, trojans).

   • Unlawful, unethical, or harmful material, including defamatory or offensive content.

   • Material that facilitates illegal activity or damages any person or property.

5. Share Software login credentials with unauthorised third parties.

6. Publicly disclose non-public features of the Software.

7. Breach these Terms or create security risks.

8. Encumber the Software with any mortgage, charge, or lien.

Any breach of this clause constitutes a breach of these Terms, and Dcisive may, at its sole discretion, suspend or terminate your access to the Service.
For Software distributed to you for on-premises use, Dcisive grants a non-exclusive, non-transferable, and non-sublicensable licence to use the Software during the agreed term.
You agree to indemnify Dcisive against any claims, damages, or expenses resulting from your violation of these restrictions or misuse of the Software.

1. Ownership of Data

You retain all rights and ownership of any data, files, or other content (“Data”) you upload, submit, or otherwise provide to the Service. Dcisive does not claim ownership of your Data.

2. Limited Licence to Dcisive

By uploading or providing Data to the Service, you grant Dcisive a non-exclusive, worldwide, royalty-free, and limited licence to use, store, transmit, display, and process your Data solely as necessary to provide the Service and comply with these Terms.

3. Data Privacy and Compliance

Dcisive will implement commercially reasonable measures to protect your Data against accidental or unauthorised access, use, or disclosure.

Dcisive will handle any personal information contained in the Data in accordance with applicable data protection laws and Dcisive’s Privacy Policy.

You acknowledge that you are solely responsible for obtaining any consents or authorisations necessary to collect, store, and process the Data as required by law.

4. User Responsibilities

You represent and warrant that you have all necessary rights, licences, and consents to upload and use the Data in connection with the Service.

You agree not to upload or provide Data that infringes any intellectual property rights, violates any laws, or otherwise breaches these Terms.

You are solely responsible for the accuracy, quality, and legality of the Data you upload to the Service.

5. Data Removal and Retention

You may request deletion of your Data at any time, subject to any legal obligations or legitimate business purposes that may require continued retention.

Following termination of your account, Dcisive will remove or delete your Data within a reasonable timeframe, unless otherwise required by law or agreed in writing.

6. Aggregate Data

Dcisive may compile statistical and other information related to the performance, operation, and use of the Service. Any aggregated or anonymised data will not identify you or any individual and may be used by Dcisive for any lawful business purpose, including analytics, benchmarking, and Service enhancements.

7. Indemnity

You agree to indemnify and hold Dcisive harmless from any claims, damages, or expenses arising from your violation of any third-party rights or from any misuse of the Data you provide.

• Fees are detailed in your subscription agreement.

• Payments are non-refundable unless specified otherwise.

• Dcisive reserves the right to modify pricing with prior notice.

Dcisive will use commercially reasonable efforts to maintain the Services and minimise disruptions. However, the Service may occasionally be unavailable due to maintenance or other factors beyond Dcisive’s control.
The Service is provided "as is," without warranties of any kind, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Dcisive and its affiliates shall not be liable for:

1. Data loss, errors, interruptions, or inaccuracies.

2. Indirect, incidental, or consequential damages.

3. Events beyond Dcisive’s control.

4. Total damages exceeding the fees paid by you in the 12 months preceding the incident.

While Dcisive aims to provide uninterrupted service, there may be scheduled or unscheduled downtimes. Dcisive will make reasonable efforts to notify users in advance of planned maintenance.

Dcisive may terminate or suspend your access to the Service if you breach these Terms or if required by law. Upon termination, your licence to use the Software will also terminate.

These Terms are governed by the laws stipulated in your Service Agreement with Dcisive. Any disputes also will be resolved exclusively in the courts per your Service Agreement with Dcisive.

Dcisive reserves the right to update these Terms. Continued use of the Service signifies your acceptance of any revised Terms.
